Corporate law governs the formation, structure, and operation of corporations. This includes the process of incorporating a company, issuing shares, and defining the roles and responsibilities of shareholders, directors, and officers. Corporate law governs the process of mergers, acquisitions, and other corporate restructurings. This includes the legal framework for negotiating and executing transactions, as well as regulatory approval processes.

Corporate law encompasses the resolution of disputes involving corporations, including shareholder lawsuits, breach of fiduciary duty claims, and disputes between business partners.

Responsibilities:

1. Assisting clients in choosing the appropriate legal entity structure for their business (e.g., corporation, limited liability company, partnership) and handling all aspects of entity formation, including drafting articles of incorporation, bylaws, operating agreements, and partnership agreements.

2. Advising clients on corporate restructuring, reorganization, and bankruptcy matters, including debt restructuring, asset sales, bankruptcy filings, and creditor rights.
